(terms and conditions)

1. Introduction
These Terms and Conditions govern the provision of marketing, design, and consulting services ("Services") provided by Not Brad's Creative Farm ("we", "us", or "our") to you ("the Client"). By engaging our Services, you agree to be bound by these Terms.

2. Services Provided
We offer a range of marketing services, including but not limited to: 
 - Content creation and management
- SEO optimization and digital marketing
- HubSpot integration and support
- Creative design (brochures, websites, etc.)
- Social media management 
- Webflow Integration and Support
Any additional services or special projects outside of the agreed-upon scope will be billed separately as outlined in the individual agreement. 

3. Payment Terms
Retainer Fees: Monthly retainers are billed at the start of each billing period. Invoices will be issued monthly and are due within 10 days of receipt.

Additional Work: Any additional services not covered in the monthly retainer will be billed at an agreed-upon rate before work begins.Quick Needs: Short-term services requiring 1-2 hours of work will be billed at an hourly rate of $85.

4. Cancellation Policy
‍You may cancel our services with 30 days' written notice. Cancellations take effect at the end of the current billing cycle. This ensures the completion of any ongoing projects within that period. 
- If notice is provided less than 30 days before the next billing cycle, you will be billed for that cycle before services are discontinued.

5. Refund Policy
Non-Refundable Payments: All payments made are non-refundable. Once services have commenced for the billing period, no refunds will be issued.
Exceptions: Refunds may be issued in special circumstances
Exceptions: We reserve the right to issue refunds in special circumstances. Please contact us at info@notbradscreativefarm.com to discuss a potential refund.

6. Intellectual Property
Ownership: Upon full payment of all outstanding invoices, all materials, content, and designs created by Not Brad's Creative Farm during the contract remain the intellectual property of the Client.
Usage Rights: Until full payment is received, we reserve the right to retain ownership of any materials created. After payment, the Client has full rights to use the materials for their intended purposes.
‍Creative Credits: We reserve the right to showcase any work produced for you in our portfolio or for promotional purposes unless otherwise agreed upon in writing. 

7. Client Responsibilities
The Client agrees to provide timely feedback, materials, and approvals necessary for us to complete the agreed-upon services. The Client is responsible for ensuring that all content, trademarks, and materials provided to us for use in the project do not infringe on the intellectual property rights of third parties.

8. Service Delivery
We aim to deliver all services and projects on time as per agreed timelines. However, delays caused by Client inaction or failure to provide necessary materials will result in extended delivery timelines. Any adjustments or changes to the original project scope may result in additional charges and modified deadlines.

9. Confidentiality
Both parties agree to keep all sensitive business information confidential. This includes marketing strategies, proprietary materials, financial details, and any other sensitive information shared during the project.The NDA signed between the Client and Not Brad's Creative Farm remains in effect for all projects unless otherwise stated.

10. Limitation of Liability
Not Brad's Creative Farm will not be held liable for any direct, indirect, incidental, or consequential damages resulting from using our services. We make no guarantees regarding specific outcomes or results but strive to provide the highest level of service and strategy to maximize your success.

11. Dispute Resolution
In the event of any disputes regarding the services provided, both parties agree to attempt to resolve them through informal negotiation before pursuing any formal legal action. If formal legal action is required, any disputes will be resolved in accordance with the laws of the state of Wisconsin.

12. Termination
Either party may terminate the agreement by providing 30 days' written notice. In the event of termination, the Client agrees to pay for all services rendered up until the date of termination, including any outstanding fees or charges.
Not Brad's Creative Farm reserves the right to terminate services immediately if the Client breaches these Terms and Conditions or engages in conduct that impairs our ability to deliver services.

13. Changes to Terms and Conditions
We reserve the right to update these Terms and Conditions at any time. Any changes will be posted on our website, and Clients will be notified via email or other appropriate communication channels.
